This agreement is between Priceless Writers (founding members listed on site) and any and all clients who utilize Priceless Writers services.  In this agreement, the Priceless Writers company, site and members will be referred to as ‘Priceless Writers’ and any and all clients will be referred to as ‘you,’ or ‘client.’

Deliverables -

Priceless Writers agrees to provide the client with completed, original written projects based on what the client orders - to be returned in a reasonable amount of time (as agreed by the client and writer upon initial purchase.)

Because of the expertise of the writers, the written projects may bring the client added benefits during use, such as higher search engine rankings, more customers, more sales, etc.  However, Priceless Writers makes no such guarantee for any of their work. 

Priceless Writers guarantees the client two (2) rewrites or revisions to any paid project completed within 30 days of the original project request. (Should the revision change the word count by more than 100 words, the client will be responsible for paying for the extra words at regular price or VIP price.)  After these two revisions or rewrites, the client assumes responsibility for the project and the client’s final satisfaction with the project.  Due to the nature of this business, NO refunds for writing will be given.
A 15% discount may be given if the writer is unusually late, or the client and Priceless Writers have agreed on a completion date and the client has still not received his or her completed project.  This will be determined by the majority of the founding members of Priceless Writers upon discussion.

As a VIP member, the client will receive discounts for the following:

• Discounted Rates ($0.20 cents per word)
• The Luxury of Selecting Writers of Your Choice
• One Free Article Directory Submission (selected by Priceless Writers)
• Elite Client Care and Priority Service
• Article Marketing Guidance
• Special Offers in Newsletter
• Exclusive Gifts

Each project is only eligible for one offer or discount.

Payment -

For all requests and projects, 50% of payment is required before project begins, with the remaining balance due upon project completion.

Priceless Writers may estimate word count in particular projects, and may end up coming in under or over word count estimate.  If this should occur, the remaining balance for the project will be adjusted to reflect the actual word count.

Should the client neglect to pay the remaining balance on the project, he or she forfeits all rights to the written project and rights will be held by Priceless Writers or the individual founding member.  Should the client proceed to use this project, he or she may be subject to litigation.

For large projects, payments will be made in milestones of 20 pages, with each increment due before Priceless Writers begins work on the next section of the work.

VIP payments may be made monthly or yearly, in advance.

Reasons for Termination of VIP Membership:

A client’s VIP membership may be terminated, or the client may be prevented from using Priceless Writers services in the future for any of the following reasons:

• Any form of Abuse or Hostility toward any founding member of Priceless Writers.
• If the client does not pay any amount that is owed on any and all projects and services, or if he or she neglects to pay the 50% up front for any project.
• If the client does not pay his or her membership fee.
• If the client should create a negative image of Priceless Writers, either online (in forums, discussion boards, websites or any other form online.)  This includes any and all forms of libel, false claims, etc.
• Abuse or neglect of any of the terms laid out in this agreement.

Conflicts or Disputes:

Should any dispute arise during a client’s usage of Priceless Writers, the client agrees to give Priceless Writers 30 days to correct the problem without approaching litigation.  Providing that the suggested solution by the client is in agreement with the terms laid out in this form, Priceless Writers will resolve the situation within the allotted time.  Should the suggested solution be in conflict with the terms laid out in this form, the dispute or concern of the client is void and warrants no action from Priceless Writers.

Proprietary Data and Intellectual Property:

Priceless Writers agrees that any proprietary data or intellectual property knowledge from clients gained through projects will not be divulged unless permission from the client is given.  The client agrees not to divulge any proprietary data or intellectual property knowledge of Priceless Writers workings, methods, techniques, marketing or any other type will not be divulged or the client could face litigation.

Notice: By purchasing any writing project, VIP membership or utilizing any service from Priceless Writers (http://www.pricelesswriters.com/), you agree that you have read and are in compliance with all terms laid out in this agreement.  Should you not be in compliance with any term laid out in this agreement, your membership could be terminated, you could be prevented from utilizing all Priceless Writers services and legal action could be brought against you.
